STANLEY BIRNBAUM'S practice has been almost exclusively transactional in nature, focusing on real estate (with an emphasis on commercial leasing), financings, mergers and acquisitions and mortgage banking. Mr. Birnbaum was admitted to the California Bar in 1977. He is a graduate of the University of Texas School of Law where he was an editor of the Texas International Law Journal. He also holds a Bachelor's Degree in Electrical Engineering from Cooper Union and a Master's Degree in Engineering from the University of Pennsylvania. Prior to attending law school he developed software for mainframe computers in the aerospace industry in California.
Mr. Birnbaum began his legal career as an Associate with Perkins, Coie in Seattle, Washington. Upon returning to California, he joined Steefel, Levitt and Weiss and became a partner in the firm in 1980. Thereafter, Mr. Birnbaum was Corporate Counsel for North American Mortgage Company, then a large independent residential mortgage banking company based in Santa Rosa and now a part of J.P. Morgan Chase & Co. At North American, Mr. Birnbaum was responsible for the review and negotiation of the bulk of the Company's significant transactions, including the sale of loans into pools, the purchase and sale of servicing rights, business acquisitions and office leases.
In his private practice, Mr. Birnbaum represented Citibank, including the Bank's participation in one of Kohlberg, Kravis and Roberts first leveraged buyouts. He was the draftsman and negotiator of the first Nordstrom lease in Northern California, he represented Air Liquide, an international Fortune 500 Company, in the preparation and negotiation of a lease for its corporate headquarter in the United States and represented the owner of a United States Football League football team when the team was sold. He has substantial experience in securities law and also in software licensing.
